These Terms of Service ("Terms") govern your use of the IOSYSTEMS website and any services provided by IOSYSTEMS Ltd. By using our website or engaging our services, you agree to these Terms.

1. About us

IOSYSTEMS Ltd is a company registered in United Kingdom under company number 16278257, with its registered office at 61 Bridge Street, Kington, Herefordshire, HR5 3DJ, United Kingdom. In these Terms, "we", "us" and "our" refer to IOSYSTEMS Ltd, and "you" refers to the individual or organisation using our website or services.

2. Our services

We provide bespoke software engineering services, including enterprise applications, smart IoT systems, and custom software design. The specific scope, deliverables, and price for any engagement are agreed individually and set out in a written proposal, statement of work, or service agreement (a "Service Agreement").

3. Quotes and proposals

Any quote, estimate, or proposal we provide is an invitation to discuss and is not a binding contract. A binding contract is formed only when both parties sign a Service Agreement or otherwise confirm the engagement in writing. Quotes are valid for 30 days unless stated otherwise and may be revised if the scope or requirements change.

4. Fees, invoicing, and payment

Our services are billed by invoice as set out in the applicable Service Agreement. Unless agreed otherwise:

  • A deposit or initial milestone payment may be required before work begins.
  • Invoices are payable within 14 days of the invoice date.
  • Prices are exclusive of VAT and any applicable taxes, which will be added where required.
  • We reserve the right to pause work or charge interest on overdue amounts as permitted by law.

Payments are typically made by direct bank transfer to our company bank account, with the account details set out on the applicable invoice. For convenience we may also accept payment through third-party payment processors (such as Stripe or PayPal); your use of those services is subject to their own terms and privacy policies.

5. Your responsibilities

To help us deliver on time, you agree to:

  • Provide accurate, complete information and timely feedback and approvals.
  • Ensure you have the rights to any materials, data, or systems you ask us to work with.
  • Use any deliverables lawfully and in accordance with the Service Agreement.

6. Intellectual property

Unless the Service Agreement states otherwise, ownership of custom deliverables transfers to you once we have received payment in full. We retain ownership of our pre-existing tools, libraries, frameworks, and know-how, and grant you a licence to use them as needed to operate the delivered work. We may reference the engagement in our portfolio in general terms unless you ask us not to.

7. Confidentiality

Each party agrees to keep the other's confidential information secure and to use it only for the purpose of the engagement. This obligation continues after the engagement ends.

8. Warranties and liability

We provide our services with reasonable care and skill. To the fullest extent permitted by law, we exclude all implied warranties, and our total liability arising out of or in connection with an engagement is limited to the fees paid by you for that engagement. We are not liable for indirect or consequential losses, loss of profit, or loss of data. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

9. Cancellation and refunds

Cancellation of an engagement and any associated refunds are governed by our Refund & Cancellation Policy and the applicable Service Agreement.

10. Governing law

These Terms and any dispute arising from them are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
